Overview

Maddie is an energy attorney with extensive experience working with the oil and gas industry.

Maddie handles a variety of transactional matters, including agreements for traditional and renewable energy projects, real property acquisitions and divestitures, and various stages of business transactions. She has also counseled clients on a wide array of regulatory issues related to the Railroad Commission of Texas, the state’s governing agency for oil, gas, alternative fuels, pipeline safety, and surface mining and reclamation.

Before moving to litigation and transactional work, Maddie began her career as an oil and gas title attorney. She has researched and written title opinions and prepared discovery requests and responses, briefs, motions, memoranda, and court orders. She has also drafted and negotiated purchase and sale agreements, leases, releases, easements, joint operating agreements, mineral and royalty conveyances and reservations, as well as numerous other transactional documents for energy clients.

Maddie frequently deals in the overlap between energy law and environmental law, including decommissioning and restoration obligations, mining and land reclamation, carbon capture and sequestration, and development of sustainable renewable energy sources. She also represents tax equity investors in renewable energy projects, which allows her to utilize her skills and knowledge of the industry with her experience in mergers and acquisitions, due diligence, and real estate transactions.

Experience
  • Represented the developer in the repowering of two wind projects totaling more than 300 megawatts in Nolan County, Texas.
  • Represented a battery storage developer in negotiating and drafting numerous leases, purchase options and broker agreements in Texas, Colorado, Oklahoma, New Mexico, Illinois, Oregon and Washington.
  • Represented the developer in the acquisition of a 145-megawatt solar project and a 75-megawatt battery storage project in Kleberg County, Texas.
  • Represented a data center developer in managing various issues related to oil and gas production on project land in West Texas.
  • Represented the developer of virtual power plant and on-site community solar and storage projects in Houston, Texas.
  • Represented a client in the negotiation and drafting of renewable energy credit purchase agreements and power purchase agreements in Louisiana, Arizona and California.
  • Represented the equity investor in numerous tax credit finance transactions, including a battery energy storage project in Texas generating over $134,000,000 of federal tax credits, and various solar energy projects in North Carolina, South Carolina, and Georgia generating between $15,000,000 and $245,000,000 of federal tax credits.
  • Drafted and negotiated oil and gas leases, joint operating agreements, assignments and conveyances, surface use and access agreements, easements, midstream agreements, production handling agreements, and other transactional documents on behalf of clients ranging from landowners to major producers in all phases of energy exploration, development and production.
  • Researched, published articles and presented on carbon capture and sequestration and renewable energy issues, including related federal and state regulatory matters.
  • Represented both buyers and sellers in real property transactions, handling title and survey issues, deeds, leases, reservations, exchanges and closing logistics for companies, individuals, landlords and commercial tenants.
  • Represented a variety of upstream clients in matters ranging from lease drafting and contract negotiation to complex litigation (including participation in a multi-million-dollar trial on behalf of one of the world's largest publicly traded international oil and gas companies).
  • Drafted various documents related to litigation, such as Motions for Summary Judgment, Motions to Compel, Original Petitions, discovery requests and responses; engaged in negotiations and correspondence with clients and other counsel; and performed legal research and drafted numerous memos on a variety of matters, primarily related to oil and gas.
  • Facilitated the wind-down of a mid-sized exploration and production company.
  • Analyzed abstracts and drafted complex oil and gas title opinions, including supplemental opinions and division order title opinions.
  • Reviewed hundreds of oil and gas leases, assignments, joint operating agreements, purchase and sale agreements, various royalty conveyances, and numerous other agreements.
  • Assisted in closing a $278 million Texas Energy Fund Loan for a 460 MW natural gas power plant in Freestone County, Texas.
Outside the Office

Maddie spends most of her free time enjoying her family, which includes two young daughters.
